Job Summary

We are looking for a contract manager who understands and has first-hand experience working in the software industry.  Do you have experience developing channel partner agreements?  Are you interested in serving as a key liaison between our clients, vendors and other business partners?  This is not a position for a traditional attorney or litigation support specialist – but rather someone who has a proven track record in drafting, reviewing and shaping contract negotiation strategies. 

Position Overview

Contracts:

Recognizes, defines and resolves problems within assigned area, including providing direction, guidance to both executives and other members of the Legal Division and preparation of a variety of moderately complex legal deliverables.  Collects, assimilates, and manages contractual data.

Operations:

The Operations component will embody Atonix Digital’s core values and understand our culture to serve as the right hand and trusted partner to our COO/CMO. He/she will be discrete, high-energy, agile-minded, strategic, proactive, a direct communicator, highly organized, and committed to the vision, values, and culture of Atonix Digital. The ideal candidate will be capable of functioning not only on a strategic level, but also at an operational and tactical level.  This role will be both a key implementer and communicator of strategic projects across the organization and help manage activities that are critical to the company’s success.  The Operations Specialist will have the right balance of humility and self-confidence to be able to juggle the many facets of this position, while also effectively managing change in a very fast-paced, complex, and dynamic business environment.

Key Responsibilities

Contracts:   Works independently and in collaboration with business leadership to structure, draft and manage contract negotiations.   

  • Handles negotiations to ensure the business interests and objectives of the corporation are clearly identified, adequately protected, and the risk of loss or liability is minimized. 
  • Drafts and reviews a variety of legal contract including: NDAs, Letters of Intent/MoUs, software licensing agreements (SaaS), regulatory, privacy, inbound/outbound software licenses, services engagements (time and materials, fixed bid), vendor agreements, distribution, sponsorship, promotion/marketing and other commercial agreements and arrangements.
  • Maps all executed agreements against current templates and provide assessment of terms negotiated vs terms in the template.
  • Actively seeks to understand client interests and drivers through normal client contact and through interaction and communication with leadership.
  • Acts as primary liaison with legal to ensure compliance with policies and processes and determining outside counsel requirements.
  • Monitors activities of outside counsel on assigned transactional matters which may include development of standard contract forms. 
  • Develops and shares current knowledge of latest technology and processes related to business unit. 
  • Responsible to maintain standard forms of agreements.
  •  Manage contracts database and workflows, including use of IT databases used within the Legal Division for the monitoring of legal tasks and workload.
  • Reports to the Chief Operating Officer.

Operations:

The Facilitator

  • Provide oversight on time-sensitive issues and initiatives that include cross-functional and organizational dimensions
  • Lead and deliver special projects and ad-hoc requests to support the COO/CMO while driving work forward across the senior leadership team and stakeholder groups
  • Organize and prioritize critical issues and required information for the COO to facilitate efficient decision-making

The Tab Keeper

  • Ensure accurate notes during meetings that the COO attends and make sure that the action items from the meeting are executed
  • Maintain a pulse on the business and help connect dots with others across the organization
  • Prepare materials for executive level meetings as well as research and prepare information for presentations

Minimum Qualifications

Typically, 4+ years of relevant transactions experienced, with proven track record of adherence to highest ethics, and ability to culturally fit within the Company’s current environment. .

  • Ability to independently and effectively manage workload in cooperation with and support of other company members on a variety of time-sensitive legal matters
  • Strategic legal thinking and capability of arriving at sound conclusions and practical legal solutions
  • Comprehensive understanding of intellectual property law and concepts
  • Excellent organization, communication and writing skills
  • International software experience a plus
