Job Summary

The position of Legal Director is a functional manager position in which the Beneficiary will manage an essential function within Petitioner’s organization. The essential function managed is overseeing the legal aspects of cross-border corporate and commercial transactions. This role is critical to the company’s strategic operations and involves high-level decision-making, supervision of legal work, and direct engagement with senior leadership. In doing so, the Beneficiary will act at a senior level and will have day-to-day discretionary authority to make decisions on particular courses of action and agreements with respect to the essential function managed.

Internal & External Interactions

1)  Strategic Oversight and Decision-Making
•    Leads the development and execution of legal strategies for cross-border transactions and regional operations.
•    Establishes and enforces policies and procedures to ensure compliance with regulatory frameworks, international trade laws, and corporate governance standards.
•    Selects and engages external counsel, and manages projects assigned across various jurisdictions, integrating their advice into broader business strategies and operational plans.

2)  Supervision and Coordination of Legal Teams
•    Coordinates with external law firms and cross-functional business units involved in cross-border corporate and commercial transactions.
•    Delegates and oversees drafting, negotiation, and due diligence activities, ensuring alignment with corporate objectives and risk management protocols.
•    Provides strategic direction and quality control to external law firms, ensuring consistency with global legal standards and company policies.

3)  Risk Management and Policy Development
•    Identifies and evaluates legal and regulatory risks related to market entry, investment structures, and financing activities in the U.S. and globally.
•    Leads the development of internal compliance frameworks and policies tailored to regional legal requirements.
•    Advises senior executives on risk exposure and recommends strategic adjustments to safeguard company interests.

4)  Stakeholder Engagement and Executive Advisory
•    Serves as the primary legal advisor to senior management on transactional matters in the U.S. and globally, balancing legal risk with business growth objectives.
•    Represents the company in high-stakes negotiations with counterparties, ensuring favorable outcomes and long-term stability.
•    Prepares and delivers executive-level briefings and reports to global headquarters on the status, risks, and opportunities of cross-border corporate and commercial transactions.

This role requires a high degree of autonomy, strategic leadership, and cross-border coordination, demonstrating the executive and managerial nature of the position in support of the company’s international operations.

Key Responsibilities

Specific duties and responsibilities for the position of will include:

•    Manages the provision of legal services and advice by outside counsel in the U.S. and globally. 
•    Reviews work of outside counsel and manages input from BV professionals on transaction and other legal documents. 
•    Coordinates a variety of complex legal deliverables for larger projects. 
•    Researches complex legal issues and develops for leadership review.
•    Manages, plans, directs and coordinates provision of legal services.
•    Aligns legal assistance and counsel for the project pursuit teams in connection with business transactions, such as project proposals, joint venture arrangements, and other project-related documents.
•    Manages negotiations as necessary to ensure the business interests and objectives of the firm are clearly identified, adequately protected, and the risk of loss or liability is minimized. 
•    Manages and oversees activities of outside counsel in the U.S. and globally, including: identification, selection, and retention of outside counsel. 
•    Actively seeks to understand client interests and drivers through normal client contact and through interaction and communication with business leadership. 
•    Communicates client interests and drivers to team members and develops approaches to accommodate these concerns. 
•    Proactively provides guidance and direction onLegal and Government Affairs guides, standards, systems, and company policies. 
•    Oversees development, implementation, and maintenance of legal standards.   
•    Serves as a legal specialist to provide guidance to internal clients on cross-border corporate and commercial transactions and legal matters as well as company-wide legal matters.
•    Develops advanced legal strategies and approaches to legal problems.
•    Coordinates delivery of company-wide training.  
•    Supervises lower level attorneys. 

Management Responsibilities

Supervises work of others. Responsible for hiring, discipline, and pay administration of their subordinates.

Preferred Qualifications

Typically 8+ years.

Minimum Qualifications

Law degree required. Licensed to practice law in at least 1 jurisdiction
